E&P General Counsel – Fort Worth, TX

CSI Recruiting is working with a growing E&P firm in Fort Worth, Texas, assisting in their search for an experienced Upstream Oil & Gas (E&P) General Counsel.

The General Counsel is responsible for the company’s legal matters including:

  • Exploration and production activities (onshore, domestic assets), drafting, negotiating, reviewing and analyzing exploration participation agreements, multi-well participation agreements, purchase and sale agreements, joint operating agreements, areas of mutual interest agreements, cross-assignment agreements, joint bidding agreements, confidentiality agreements, geophysics license agreements, as well as midstream matters such as gas gathering and transportation agreements, operation and maintenance agreements, production handling agreements, liquids separation agreements, gas processing agreements, gas sales agreements (etc.).
  • Day to day legal matters, including: SEC compliance, Public and private offerings of securities, Negotiation and preparation of stock and asset purchase and sale agreements, Corporate governance, Executive compensation, Derivatives transactions, Litigation management and supervision
  • Procurement activities, including drafting and negotiating master purchase agreements, master services agreements, purchase orders, logistics and freight forwarding agreements, purchasing policies and procedures.
  • Business development activities, including confidentiality agreements, proposals, memoranda of understanding, letters of intent, non-binding proposals, offer letters, legal due diligence reviews and legal analysis of possible acquisition transactions.

Requirements:

  • Juris Doctorate and 12+ years of upstream oil & gas legal experience
  • Experience as General Counsel or Assistant General Counsel within a publicly traded E&P firm
  • Ability to negotiate contracts, addendums, settlements and other resolutions of disputed matters favorable to the Company.
  • Ability to organize multiple high priority tasks to meet deadlines
  • Ability to communicate at a management level (oral and written) and work well with others in a dynamic team environment.
  • Ability to work effectively and collaboratively with personnel across the organization, and others outside of the organization.
  • Strong problem-solving, understanding of financial institution operations, and organizational skills with the ability to present information logically and succinctly
  • Demonstrated ability to think critically and analyze and communicate complex information to all levels of management and staff
  • Proficiency in Microsoft Word, Excel, and PowerPoint as well as Adobe Acrobat Pro and SharePoint
