CSI Recruiting is supporting an independent, privately-owned and highly entrepreneurial oil and gas exploration and energy investment company in their need to hire a Senior Attorney to work in downtown Denver, Colorado.

This E&P firm is seeking a focused, determined legal professional with a proven ability to perform top caliber work and tackle complex legal issues in the oil and gas energy industries to fill the position of Senior Attorney.   The successful candidate will work tenaciously, diligently, and independently to complete multiple projects ahead of schedule and have a strong business orientation with a resourceful and creative approach to solutions.

As Senior Attorney you will provide advice and support all legal aspects of domestic and international transactions, including driving strategic outcomes, advising management on legal risks, coordinating due diligence reviews, leading and collaborating with all levels of management and non-management in a cross-functional/cross-cultural business environment and drafting and negotiating deal documentation, from LOIs through definitive agreements.  The Senior Attorney will also be responsible for updating and maintaining a suite of operational contracts (drilling, consulting, MSAs, etc.) to avoid or manage risk.

Specific Responsibilities:

  • Risk Management: Prepare and negotiate service agreements for use in day to day oil and gas exploration and development projects worldwide. These agreements will serve to manage the companies risk through the consistent application of insurance and indemnities to provide an overall contractual risk management scheme.
  • Review, draft, and negotiate a diverse range of transactional agreements, including letters of intent, international and domestic Joint Operating Agreements, international concessions, licenses and production share agreements, domestic mineral leases and purchases, farm-ins, farm-outs, etc.
  • Review, draft, negotiate, and lead due diligence on domestic and international corporate mergers, acquisitions and divestitures.
  • Review, draft, and negotiate domestic and international asset acquisitions and divestitures.
  • Maintain corporate records.
  • Review, draft, and negotiate domestic and international confidentiality agreements and AMIs.
  • Investigate, research, and provide legal guidance on all corporate and strategic transactions, including acquisitions, dispositions, joint ventures, inter-company relationships, complex commercial agreements and other issues and circumstances which arise in the company’s day-today business activities.
  • Identify and analyze legal issues and risks, introduce business savvy and strategic legal advice to ensure compliance with issues facing the company.
  • Keep up-to-date on industry related laws and regulations to identify change and incorporate into policies, procedures, and transactions.
  • Perform additional tasks as requested by the General Counsel, Assistant General Counsel and senior management, and provide other legal advice and services as the needs of the organization arise.


  • Bachelor’s Degree and J.D from an ABA accredited school.
  • Minimum eight years’ experience in the upstream (E&P) oil and gas industry.
  • Strong transactional experience in oil and gas exploration, development, and transactions.
  • Strong understanding of insurance and indemnification risk management programs.
  • Demonstrated ability to provide strategic and commercial legal advice and recommendations.
  • Organized, task and detail oriented; consistently delivers on-time in an ever-changing, fast-paced environment.
  • Motivated, confident and creative problem solver, with a strong work ethic, who instinctually pushes projects forward to completion.
  • Excellent communication skills, both written and oral.
